This document constitutes a legally binding agreement between you (the "Client" or "User") and Service Pro (the "Company," "we," "us," or "our"). By accessing our website, requesting information, or engaging our services, you affirm that:

- You possess the legal capacity to enter into binding contracts
- You are authorized to accept these terms on behalf of any organization you represent
- You agree to comply with all applicable laws and regulations
If you do not agree with any provision of these Terms and Conditions, you must immediately cease using our services and website.
2. User Obligations and Responsibilities
2.1 Legal Compliance
You agree to comply with all applicable local, state, federal, and international laws, regulations, and ordinances in your use of our services. This includes but is not limited to:
- Equipment safety regulations and standards
- Business licensing and operational requirements
- Data protection and privacy laws
- Consumer protection regulations
- Anti-discrimination and equal opportunity laws
2.2 Accurate Information
You warrant that all information provided to us, including contact details, equipment specifications, facility information, and service requirements, is accurate, current, and complete. You agree to promptly update any information that becomes inaccurate or outdated.
2.3 Prohibited Conduct
You agree not to engage in any of the following prohibited activities:
- Misrepresenting your identity, qualifications, or authorization
- Interfering with or disrupting our services or operations
- Attempting to access unauthorized areas of our systems
- Using our services for illegal, fraudulent, or harmful purposes
- Violating the rights of third parties or our intellectual property
- Engaging in harassment, abuse, or threatening behavior toward our staff
2.4 Equipment Access and Safety
When we provide on-site maintenance services, you agree to provide safe and reasonable access to equipment, ensure adequate working conditions, and inform us of any hazardous conditions or special safety requirements at your facility.
3. Service Delivery Terms
3.1 Service Agreements
Specific terms for maintenance services will be outlined in individual service agreements or proposals. These service-specific terms supplement and are governed by these general Terms and Conditions.
3.2 Service Scheduling
Maintenance schedules are established based on mutual agreement and equipment needs. While we strive to maintain agreed-upon schedules, circumstances may require adjustments. We will provide reasonable notice of any necessary schedule changes.
3.3 Emergency Services
Emergency repair services are subject to technician availability and may involve additional charges. Response times are estimated in good faith but are not guaranteed due to factors beyond our control.
3.4 Parts and Materials
Replacement parts and materials are typically not included in standard maintenance service fees unless specified otherwise. Parts will be sourced based on availability, quality, and cost-effectiveness. We are not responsible for manufacturer defects in parts or equipment.
4. Warranties, Disclaimers, and Limitations of Liability
4.1 Disclaimer of Warranties
EXCEPT AS EXPRESSLY PROVIDED IN WRITTEN SERVICE AGREEMENTS, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Implied warranties of merchantability
- Fitness for a particular purpose
- Non-infringement of third-party rights
- Specific performance outcomes or results
- Uninterrupted or error-free service
4.2 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SERVICE PRO SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Business interruption or loss of goodwill
- Equipment damage caused by pre-existing conditions or misuse
- Damages exceeding the fees paid for the specific service in question
This limitation applies regardless of the legal theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.
4.3 Force Majeure
We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, labor disputes, equipment failures, transportation issues, governmental actions, or supplier disruptions.
4.4 Equipment Condition
We are not responsible for pre-existing equipment defects, damage, or wear that existed prior to our service engagement. Our maintenance services address normal wear and preventive care but cannot guarantee indefinite equipment longevity or performance.
5. Indemnification
You agree to indemnify, defend, and hold harmless Service Pro, its affiliates, officers, directors, employees, agents, contractors, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms and Conditions
- Your violation of any law, regulation, or third-party right
- Your misuse of our services or equipment
- Your negligence or willful misconduct
- Any inaccurate or misleading information you provide
- Any dispute between you and third parties arising from our services
6. Payment Terms and Conditions
6.1 Payment Obligations
You agree to pay all fees and charges associated with services rendered in accordance with the payment terms specified in your service agreement or invoice. All prices are quoted in US Dollars unless otherwise stated.
6.2 Late Payments
Payments not received within the specified due date may be subject to late fees, interest charges, or service suspension. We reserve the right to require advance payment or payment guarantees for continued services if payment issues arise.
6.3 Disputed Charges
If you dispute any charge, you must notify us in writing within 30 days of the invoice date. Failure to dispute charges within this timeframe constitutes acceptance of the charges.
6.4 Price Adjustments
We reserve the right to adjust pricing for ongoing services with reasonable advance notice. Price increases will be communicated at least 30 days prior to taking effect.
7. Confidentiality and Data Protection
7.1 Confidential Information
Both parties agree to maintain the confidentiality of proprietary information, business practices, and trade secrets disclosed during the course of our business relationship. This obligation survives termination of services.
7.2 Data Protection

7.3 Service Data
We may collect and retain technical data about equipment performance, maintenance history, and service outcomes for quality improvement and operational purposes. This data is used in accordance with our Privacy Policy.
8. Termination
8.1 Termination by Client
You may terminate ongoing service agreements according to the notice requirements specified in your service contract. Early termination may be subject to fees or minimum commitment charges as outlined in your agreement.
8.2 Termination by Company
We may terminate or suspend services immediately without notice if you breach these Terms and Conditions, fail to make required payments, engage in prohibited conduct, or if continuing services would violate applicable laws or regulations.
8.3 Effects of Termination
Upon termination, you remain responsible for all outstanding fees and charges. Provisions of these Terms and Conditions that by their nature should survive termination (including but not limited to warranties, liability limitations, indemnification, and dispute resolution) will continue in effect.
9. Legal Information and Dispute Resolution
9.1 Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of law provisions. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
9.2 Jurisdiction and Venue
You irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in Harris County, Texas, for any legal action or proceeding arising from or related to these Terms and Conditions or our services.
9.3 Dispute Resolution Process
Before initiating formal legal proceedings, parties agree to attempt resolution through the following process:
- Written notice of the dispute must be provided to the other party
- Parties will engage in good-faith negotiations for at least 30 days
- If negotiations fail, parties may pursue mediation or arbitration as agreed
- Only after exhausting alternative resolution may litigation be initiated
9.4 Class Action Waiver
TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
10. General Provisions
10.1 Entire Agreement
These Terms and Conditions, together with any service agreements, proposals, and our Privacy Policy, constitute the entire agreement between you and Service Pro regarding the subject matter herein and supersede all prior agreements, understandings, and communications.
10.2 Amendments
We reserve the right to modify these Terms and Conditions at any time. Material changes will be communicated through our website or directly to active service clients. Continued use of our services after changes take effect constitutes acceptance of modified terms.
10.3 Severability
If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired.
10.4 Waiver
No waiver of any provision of these Terms and Conditions shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
10.5 Assignment
You may not assign, transfer, or delegate any of your rights or obligations under these Terms and Conditions without our prior written consent. We may assign our rights and obligations without restriction.
10.6 Independent Contractors
Nothing in these Terms and Conditions creates a partnership, joint venture, employment, or agency relationship between you and Service Pro. Both parties are independent contractors.
10.7 Notices
All notices required under these Terms and Conditions must be in writing and delivered to the addresses specified in your service agreement or at the contact information provided on this page.
Acknowledgment of Understanding
By using our services or website, you acknowledge that you have read these Terms and Conditions, understand them, and agree to be bound by their provisions. You further acknowledge that these Terms and Conditions represent the complete and exclusive statement of the agreement between you and Service Pro, superseding any prior agreements or understandings.
